1. Agreement to Terms

By accessing or using Smilebook's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

Smilebook provides digital marketing services for dental clinics, including but not limited to Google Ads management, Facebook and Instagram advertising, and lead qualification services. Our goal is to help dental practices attract and convert Invisalign patients.

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information about your business
  • Maintain the confidentiality of your account credentials
  • Respond to qualified leads in a timely manner
  • Comply with all applicable laws and regulations regarding advertising and healthcare
  • Provide timely feedback and approvals for marketing materials

4. Payment Terms

Payment terms are as follows:

  • Service fees are due as specified in your service agreement
  • Ad spend budgets are separate from service fees and are paid directly to advertising platforms
  • Late payments may result in service suspension
  • Refunds are handled on a case-by-case basis as outlined in your service agreement

5. Intellectual Property

All content, strategies, and materials created by Smilebook remain our intellectual property unless otherwise specified in writing. Clients retain ownership of their brand assets, logos, and any materials they provide to us.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of our business relationship. This includes marketing strategies, business metrics, and any other sensitive information.

7. Results Disclaimer

While we strive to deliver excellent results, we cannot guarantee specific outcomes. Marketing results depend on many factors including market conditions, competition, ad platform changes, and client responsiveness. Past performance does not guarantee future results.

8. Limitation of Liability

Smilebook shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.

9. Termination

Either party may terminate services with written notice as specified in the service agreement. Upon termination, you remain responsible for any outstanding fees and ad spend incurred prior to termination.

10. Modifications to Terms

We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.
